Swedish law requires that at least half of the members of the board of directors of a Swedish private limited liability company reside in the European Economic Area (EEA). If you do not have Swedish or EU residency, TKEG Expat can submit an application to the Swedish Industry and Commerce Agency for an exemption from the residency requirement for directors. Once approved, your company does not need a Swedish resident to act as a nominee director; however, if the board members do not permanently reside in Sweden or do not have a Swedish personal tax ID number, the company will need to designate a Swedish resident to act as your company's contact person in Sweden (Delgivningsbar), who will be responsible for representing the company in communications with the government.
